A. PAYMENT OF GOODS
1. All payments should be made in advance of shipment except in the case where credit has been extended by the AQC GROUP in advance.
2. Buyer agrees to pay interest at a rate of 2% per month on any amounts not paid within thirty days of invoice date plus all costs of collections including reasonable solicitor’s fees.
3. All accounts without credit terms shall make a payment as deemed by the AQC GROUP by cash, certified cheque, money order or credit/debit card. A company cheque will be accepted once a credit application has been completed and approved.
4. A £125 fee will be charged for any cheque returned to us for any reason. After a cheque has been returned company cheques will not be accepted unless and until such company undergoes further credit review and approval.
5. International accounts shall make payments by credit card, irrevocable letter of credit, bank draft (in advance), wire transfer of funds (in advance), all of which must be in GBP sterling, Euro or US Dollars, in advance, except in the case where credit has be extended.
6. All prices and discounts are subject to change without notice.
B. SHIPMENT
1. All shipments, both domestic and international, unless otherwise specified shall be ex works, Alton UK. Domestic shipments shall be handled by UPS or common carrier in the sole discretion of the AQC GROUP unless otherwise specified.
2. All claims for shortage, error, defective material or other damage loss must be made by the customer within 10 days after receipt of the goods by notifying the AQC GROUP and initiating a freight claim with the carrier. Once delivery of goods is made to a common carrier for shipment, all risk of loss of such goods passes to the buyer thereof. Visible damage should be noted on the bill of lading upon receipt of merchandise. If goods are signed for as complete the claim shall be between carrier and customer.
C. RETURN POLICY
1. Merchandise can be returned with the AQC GROUP prior consent, which will include issuance of a return authorisation number and specific shipping instructions must be followed. The AQC GROUP will not authorise any return unless buyer notifies the AQC GROUP within 30 days of delivery of the precise reason why return authorisation is being requested. Merchandise may only be returned for other merchandise of for credit toward future purchases. No returns will be accepted on private label merchandise or pre-approved shipments. Electrical appliances and equipment are not under any AQC GROUP warranty, but are subject to manufacturer warranty only.
2. No return will be accepted unless it is approved and has return authorisation number attached to it. Returns must be shipped freight prepaid. A credit memo request will then be processed to generate a credit invoice to the customer, within 30 days of receipt of merchandise.
3. All returned and refused orders maybe subject to a restocking fee of 15% payable upon invoice and will be subject to all freight charges.
D. MISCELLANEOUS
1. Orders may not be cancelled or altered after acceptance without the AQC GROUP consent.
2. The AQC GROUP shall not be liable for failure to deliver or for delays occasioned by causes beyond the AQC GROUP control, including without limitation, strikes, non-delivery or delays by shippers, carriers or others, accidents or government acts.
3. AQC GROUP shall not be liable for any special, indirect or consequential damages nor shall the AQC GROUP be liable in any event for more than the AQC GROUP invoice price of any equipment or supplies. Each shipment under any order is to be considered an individual transaction.
4. The AQC GROUP is specifically not bound by any oral or written representations made by its employees or salespersons to buyer which do not appear herein or on invoice face or purchase order in writing.
5. These terms and conditions are to be taken over those stated on any purchase orders submitted to AQC GROUP by any customers.
6. The AQC GROUP will not be liable to any losses caused by Force Majeure.
E. JURISDICTION AND LAW
1. These conditions and any act or contract to which they apply shall be governed by English law any dispute arising out of any act or contract to which these conditions apply shall be subject to the exclusive jurisdiction of the English courts.
